Terms of Service

Last Updated: 07/23/2026

Welcome! These Terms of Service ("Terms") govern your use of all Sing with the Stars, LLC ("Sing with the Stars") web properties, including our main website, any official blogs, subdomains, event registration pages, email lists, and related services or sites ("Services"). By accessing or using our Services (for example, browsing our site, registering for an event, or subscribing to our emails), you agree to these Terms ("Agreement"). We've written these Terms in plain language to be easy to understand while still protecting our rights. If you do not agree with these Terms, please do not use our Services.

Your use of our Services is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you agree to the terms of our Privacy Policy as part of the Agreement. Please review it to understand your rights and choices regarding your data.

1. General Website Use

We invite you to use our website for lawful, personal, and informational purposes. In using our site, you agree to behave responsibly and not misuse it. In particular, you agree not to use the site in ways that could:

  • Break the Law or Violate Rights: You will not use our site to do anything illegal (whether under laws in your location or ours) or infringe upon anyone's rights (for example, posting content that violates someone's intellectual property or privacy).
  • Abuse or Harass: You will not harass, spam, or cause nuisance to other users of our site or Services. This includes avoiding any behavior that is defamatory, obscene, or otherwise objectionable.
  • Disrupt or Hack: You will not interfere with the normal operation of the site or try to access it in an unauthorized way. For instance, you agree not to introduce viruses or malicious code, not to attempt to disable or overwhelm the site, and not to use any automated system (like scripts or bots) to improperly scrape data or otherwise access our systems without permission.

These examples illustrate the kind of conduct that is not allowed, but they are not an exhaustive list. We reserve the right to restrict or terminate your access if you misuse the site or engage in prohibited activities. Just use the site in good faith and common sense, and you should be fine!

Third-Party Content & Links: Our website may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of these third-party sites, and accessing them is at your own risk. The inclusion of any link does not imply endorsement or association.

Broadway Credits Database: Our website includes a Broadway Credits Database featuring publicly available information about Broadway professionals, including names, show credits, roles, and awards. This information is compiled from public sources for educational and informational purposes. Unless explicitly stated, inclusion in our database does not imply affiliation with, endorsement of, or participation in Sing with the Stars events. If you are a Broadway professional and would like to request changes to your page, please contact us.

2. Purchases & Bookings

When you book an event or make a purchase through Sing with the Stars, certain terms apply to ensure a smooth experience for everyone. Please read any event-specific details at the time of booking as well. Here's how it generally works:

  • Booking Confirmation: When you register for an event or book a ticket through Sing with the Stars, you will typically receive a booking confirmation (for example, via SMS or email). This confirmation acknowledges that we have received your registration or purchase. For some free events, we require approval before your attendance is confirmed. This means that simply registering online for a free event does not guarantee your spot or entry. Your registration serves as a request to attend, and we reserve the right to accept or decline such requests at our discretion (for example, if space is limited or certain criteria apply). If an event is free but subject to approval, you will receive a separate confirmation from us if you are approved to attend. In summary, registering for a free event alone does not automatically entitle you to attend that event – you must receive an explicit confirmation from Sing with the Stars for attendance. For paid events (or events that require ticket purchase), your booking is generally confirmed upon successful payment. In those cases, your confirmation guarantees your spot unless we inform you otherwise (e.g. in rare cases of event cancellation or changes by us). Always check the specific event details for any additional terms that might apply.
  • Deposits & Balance Payments: Some events allow you to reserve your spot with a deposit that locks in a special rate. A deposit reserves your spot but does not complete purchase of the pass on its own. By paying a deposit, you authorize Sing with the Stars (via Stripe) to charge the remaining balance to the same payment method on the date you confirm at the time of deposit, in your local timezone. The exact balance amount, charge date, and time are shown to you on the deposit checkout page before you pay. This is a one-time future charge — it is not a subscription, and there will be no further charges after the balance is collected. Deposits are non-refundable. The balance charge is non-refundable once collected. The pass itself is non-refundable once paid in full (cancellations by Sing with the Stars are handled separately under "Cancellation or Changes by Us"). If your balance charge fails, we will contact you and will retry the charge up to three additional times over approximately the next fourteen days, on a schedule we determine. You may update your payment method at any time using the self-service link we send you. If we are unable to collect the balance within that fourteen-day retry window, your deposit is forfeited and your reserved spot is released. The balance will be charged on the date confirmed at the time of your deposit; if you contact us before the charge processes to request a different date, we may accommodate your request at our discretion, in which case the change replaces your original authorization and will be confirmed back to you in writing before taking effect. Together, the deposit and balance complete purchase of your pass.
  • 4-Payment Pass Plan: For some event passes, we may offer the option to pay over time directly with us through a 4-Payment Pass Plan. Under this plan, the pass is paid in four (4) equal installments. The plan total is your quoted pass price plus a payment-plan service charge of no more than three dollars ($3), and your exact installment amount, the plan total, and each charge date are shown to you on the checkout page before you start the plan. The first installment is charged today, at the time you start the plan, and the remaining three (3) installments are charged automatically every two (2) weeks thereafter, on the same payment method, until all four payments are complete. By starting a 4-Payment Pass Plan, you authorize Sing with the Stars (via Stripe) to store ("vault") your payment method and to charge each scheduled installment automatically on its due date without further action by you. This is a fixed four-payment plan for a single pass: it is not a subscription or membership, and there are no charges beyond the four installments. Once your plan has started, your installment amount does not change, even if the pass price changes for later buyers. The 4-Payment Pass Plan is non-refundable, including if you do not complete all four payments. Payments you have already made are not refunded if you cancel the plan, stop paying, or otherwise do not complete it; the amounts you have paid are forfeited. If a scheduled installment fails (for example, due to an expired card or insufficient funds), we may retry the charge one or more times and may contact you to update your payment method. Your pass is issued and becomes redeemable only after all four payments have cleared in full. Until the plan is paid in full, no pass is issued and you may not schedule or attend an event; once the final installment clears, your pass is issued and is good for one (1) upcoming event night, subject to availability and to the "Pass Validity & Scheduling," "No Reschedules Once a Date Is Set," and other pass terms in this section. The only exceptions to the non-refundable policy are cancellations or material changes initiated by Sing with the Stars (addressed in "Cancellation or Changes by Us" below) and any refund required by mandatory consumer-protection law.
  • All Sales Final — No Refunds: All sales of passes and tickets are final. We do not offer refunds, credits, or exchanges under any circumstances when the cancellation, non-attendance, or change of plans originates with you. This policy applies regardless of timing (whether you contact us months in advance or the day of the event), regardless of reason (including illness, schedule conflicts, travel disruption, weather affecting your travel, family emergencies, change of mind, or any other personal circumstance), and regardless of whether the pass has been scheduled to a specific event date or remains unscheduled. It also covers no-shows: if you do not appear at an event your pass has been set to, your pass is considered used and no refund, credit, or replacement will be issued. The only exceptions are (a) cancellations or material changes initiated by Sing with the Stars, addressed in "Cancellation or Changes by Us" below, (b) any order we elect not to accept, addressed in "Order Acceptance and Right to Cancel" below, and (c) any refund required by mandatory consumer-protection law. For deposit-based purchases, the deposit and the balance are each non-refundable on cancellation by you, as described in "Deposits & Balance Payments" above. We strongly encourage you to be confident you can attend before purchasing.
  • Pass Validity & Scheduling: A Sing with the Stars pass entitles the holder to attend one (1) event night in the future, subject to availability and these Terms. Until you set your pass to a specific event date, your pass does not expire and remains valid for as long as Sing with the Stars continues to offer the experience — you can hold an unscheduled pass for weeks, months, or longer and redeem it whenever a future date works for you. Scheduling is subject to availability of the event night you choose; we cannot guarantee any particular date will be open. If Sing with the Stars permanently discontinues the experience, holders of unscheduled passes will be notified and offered an alternative remedy at our discretion (for example, a comparable replacement experience or a refund of the amount paid). One pass admits one attendee to one event night; it is not a multi-event subscription, season pass, or membership.
  • No Reschedules Once a Date Is Set: Once your pass has been set to a specific event date — whether you chose the date yourself, accepted a date we proposed, or otherwise confirmed attendance for a particular night — that date is locked. We do not offer reschedules, date changes, or transfers to a different night under any circumstances, including no-shows, last-minute cancellations, late arrival, illness, travel disruption, or any other reason. If you cannot attend the date your pass is set to, the pass is forfeit and no refund, credit, replacement pass, or future-date credit will be issued. Because this rule is strict, we recommend choosing a date you are highly confident you can keep, and waiting to schedule until you are sure.
  • Pass Transfers (Friends & Family Only): If you cannot use your pass yourself, you may transfer it — as a gift or by private sale at any price you and the recipient agree to — to a friend or family member you personally know. Arms-length resale to strangers is not authorized: you may not list, advertise, sell, or otherwise transfer your pass through ticket-resale marketplaces, secondary-ticketing platforms, ticket brokers, online classifieds to the general public, or to any person with whom you do not have a pre-existing personal relationship. The reason is operational, not technical: our events are small, intimate, and require pre-event coordination, age verification, and standard guest vetting; we cannot extend that vetting to anonymous third-party buyers. To transfer a pass, contact us in writing before the event night so we can update the guest record, confirm the recipient meets the age requirement for the specific event (21+ unless the event terms specify a younger minimum) and any event-specific eligibility, and obtain the recipient's acknowledgment of these Terms. A transfer is not effective until we confirm it back to you in writing. Sing with the Stars reserves the right to refuse admission to any person presenting a pass that has been transferred outside this policy, and to cancel any pass we reasonably believe has been resold on a secondary market. Transfers do not extend, reset, or otherwise change the underlying pass terms, including the rules above on refunds and reschedules; once a date has been set, the no-reschedule rule applies regardless of whether the original buyer or a transferee holds the pass.
  • Cancellation or Changes by Us: Sing with the Stars reserves the right to cancel, postpone, or make significant changes to an event if necessary (for example, due to low enrollment, venue issues, or circumstances beyond our control). If we cancel an event you've paid for, you will be entitled to either a full refund of the amount you paid or an option to attend a rescheduled or alternative event. We will inform you of your options in such a case. However, while we will refund your ticket or booking price, we are not responsible for other costs you may have incurred related to the event. This means we aren't liable for travel or accommodation expenses, loss of time, or other consequential costs due to a cancellation or schedule change. We recommend waiting for our confirmation before making any significant travel plans, or obtaining travel insurance if applicable.
  • Prices & Payments: All prices for events or services will be clearly stated, and any applicable taxes or fees will be disclosed at checkout. Payments are processed through Stripe, our authorized payment processor. By providing payment information, you represent that you are authorized to use the payment method and you authorize us (through Stripe) to charge the full amount of your purchase. If a payment is not successfully settled (for example, due to expiration or insufficient funds), your booking may be cancelled or not confirmed. Your payment information is handled directly by Stripe and is subject to Stripe's privacy policy and terms of service.
  • Order Acceptance and Right to Cancel: We reserve the right to refuse or cancel any order at our discretion. This may occur, for example, if we suspect fraud, if an order cannot be fulfilled, or if there are errors in product information or pricing. Your order is only deemed accepted once we actually ship the product or provide the service to you. For two-stage deposit purchases, your spot is reserved upon successful deposit, and your pass purchase is accepted upon successful collection of the balance. If we cancel an order after your payment has been processed, we will issue you a full refund for that order. We also reserve the right to limit quantities per person or household, or to prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
  • Chargebacks & Refusal of Future Service: You agree not to initiate any false, fraudulent, abusive, or bad-faith payment dispute, chargeback, reversal, or claim with your card issuer or payment provider for any purchase made through Sing with the Stars. Nothing in this section limits any right you may have under applicable law, including the Fair Credit Billing Act, to dispute an unauthorized charge, billing error, or charge for goods or services not provided as agreed. If you initiate a payment dispute, chargeback, or reversal that we determine, in good faith, to be unauthorized, unjustified, or made without a valid legal basis, or if we reasonably determine that a transaction involves suspected fraud, abuse, misrepresentation, nonpayment, or violation of these Terms, we may cancel the applicable pass and any other pending or future order placed by you, and we may decline to accept future orders associated with any name, email address, phone number, payment card, billing address, IP address, device, online account, or other identifier linked to the disputed transaction or suspected misconduct. We further reserve the right, in our sole discretion, to refuse service, deny admission, remove any person from an event, cancel orders, suspend or terminate accounts, or decline future purchases, for any lawful reason, including but not limited to abusive, threatening, harassing, intoxicated, or disruptive conduct toward our staff, performers, or guests; conduct that interferes with the safety, integrity, operations, or atmosphere of our events; suspected fraud, misuse, chargeback abuse, or misrepresentation; nonpayment; or repeated or material violations of these Terms or event rules. Nothing in this section permits refusal of service on the basis of any characteristic protected by federal, New York State, or New York City law, including the New York State Human Rights Law and the New York City Human Rights Law.
  • Account Termination, Refunds & Records: We will provide notice of account termination or refusal of future service by email to the address on file. Decisions made under "Chargebacks & Refusal of Future Service" above are final and not subject to appeal except as required by law. For passes already used or events that have already occurred, no refund will be issued. For unused passes canceled by us under that section for reasons other than fraud, chargeback abuse, or material misconduct, we will refund the face value of the pass, less any reasonable costs incurred. Refunds for orders canceled because of fraud, chargeback abuse, or material misconduct are at our discretion to the fullest extent permitted by law, and nothing in this section overrides any refund obligation imposed by mandatory consumer-protection law, including applicable event-cancellation refund statutes. We may retain identifiers associated with refused, canceled, or terminated orders — including name, email address, phone number, billing information, IP address, device identifiers, and online account references — for fraud prevention, security, and legal-compliance purposes consistent with applicable privacy law. In the event of any conflict between this section and "All Sales Final — No Refunds" above, this section controls for company-initiated cancellations. All disputes arising under this section and the section above are subject to the arbitration, class-waiver, and governing-law provisions of these Terms. If any portion of this section or the section above is held unenforceable, the remainder shall remain in full force and effect. These provisions are in addition to, and do not limit, any other rights or remedies available to Sing with the Stars.
  • The Ensemble Membership (4-Week Recurring, Founding Rate): The Ensemble is a paid membership program, separate from single-event passes. Regular membership is priced at $2,947 per year. As a one-time offer made only during the call on which you purchase your first event pass, and only if you enroll on that call, you may join as a Founding Member billed $150 every four (4) weeks (thirteen 4-week billing cycles per year, totaling $1,950 per year). This founding rate is available only through that one-time offer; it is not offered afterward, and if you decline it or cancel it, it is not available on a later join. Your Founding Member rate is locked: for as long as your membership remains continuously active, your recurring rate of $150 per 4-week cycle will not increase, even if we raise membership pricing for new members, and it renews at $150 per 4-week cycle. If your membership is canceled or lapses and you later rejoin, rejoining is at the rates and terms then in effect, which may be higher. If you purchased a Sing with the Stars event pass, we may, at our sole discretion, extend a promotional credit toward membership (for example, a credit of $997 applied toward your membership) as part of a specific offer we make to you; any such credit is a limited promotional offer, not a guaranteed benefit or an entitlement you can demand, applies only if and on the terms on which we expressly offer it, and is applied as a discount toward membership rather than as a cash refund. Unless we have made you such an offer that remains open and that you accept, membership is priced at $2,947 per year as stated above, and no pass credit is applied. Your membership includes one night for two each completed membership quarter (an event night for you and a guest, reserved from the calendar as seats are available); a membership quarter is three (3) consecutive paid 4-week billing cycles, and your included night for two vests when that quarter is completed and does not vest, in whole or in part, if your membership is canceled or lapses before that quarter is completed. Your membership also includes a member rate of $147 per person on any additional nights during your membership, including open spots we may release to members on otherwise public nights, as well as members-only nights with rotating Broadway hosts, community access (introductions and meetups), and creative-growth benefits such as Green Room Q&A calls and recordings. All membership benefits are subject to event availability and scheduling and to the 21+ and other attendance requirements in these Terms, and are provided for use while your membership is active. Your membership renews automatically each 4-week billing cycle at the founding rate above, charged to the payment method on file, which may be the card saved from your event pass purchase or a card you enter at enrollment, until you cancel. You may cancel at any time, and stop the next charge, by replying to any email from us; cancellation takes effect at the end of your current paid billing cycle, and you keep access to your vested benefits through that date. We will send you a receipt for each recurring charge. Membership payments, including the initial payment and any renewal, are non-refundable and are not prorated, whether you cancel, stop attending, or change your mind, except where a refund is required by mandatory consumer-protection law or where Sing with the Stars cancels or materially changes the program as described in "Cancellation or Changes by Us." We may modify membership benefits, future-term pricing for new or rejoining members, or the program itself; we will notify you of material changes, and your continued membership after the effective date constitutes acceptance. For clarity, no modification will increase the locked $150 per 4-week cycle rate of a continuously active Founding Member. Member nights, guest passes, and member rates are for personal use and remain subject to the pass transfer and conduct rules in these Terms.
  • The Ensemble Membership (Annual, Follow-Up Special): The Ensemble is a paid membership program, separate from single-event passes. As a special offer we may extend after your event night, you may join for one year at $2,000, billed annually and up front, charged to the payment method on file. This $2,000 annual rate is a promotional price offered at our discretion in place of the $2,947 regular annual price; it is available only if, and for as long as, we expressly offer it to you, and it is not an entitlement you can demand. Your membership includes a night for two every quarter (four nights a year for you and a guest, reserved from the calendar as seats are available), and a member rate of $147 per person on any additional nights during your membership year, including open spots we may release to members on otherwise public nights, as well as members-only nights with rotating Broadway hosts, community access (introductions and meetups), and creative-growth benefits such as Green Room Q&A calls and recordings. All membership benefits are subject to event availability and scheduling and to the 21+ and other attendance requirements in these Terms, and are provided for use during your current membership year. Your membership renews automatically each year, on the anniversary of your start date, charged to the payment method on file, unless you cancel before your renewal date. Your annual rate is locked at the price you joined at: for as long as your membership remains continuously active, your annual renewal rate will not increase, even if we raise membership pricing for new members. If your membership is canceled or lapses and you later rejoin, rejoining is at the rates and terms then in effect, which may be higher. You may cancel at any time before your renewal date, and stop the next charge, by replying to any email from us; cancellation takes effect at the end of your current paid membership year, and you keep access to your remaining benefits through that date. Before each annual renewal, we will send you a reminder with the renewal date, the amount, and how to cancel. Membership payments, including the initial payment and any renewal, are non-refundable and are not prorated, whether you cancel, stop attending, or change your mind, except where a refund is required by mandatory consumer-protection law or where Sing with the Stars cancels or materially changes the program as described in "Cancellation or Changes by Us." We may modify membership benefits, future-term pricing, or the program itself; we will notify you of material changes, and your continued membership after the effective date constitutes acceptance. Member nights, guest passes, and member rates are for personal use and remain subject to the pass transfer and conduct rules in these Terms.
  • Gift Cards: From time to time we may offer promotional gift cards toward adding a person to a booked night. Each gift card consists of a $20 purchase value and a $180 promotional bonus, for a combined $200 that may be applied toward one (1) additional-person pass on the purchaser's booked night. The promotional bonus has no cash value, is not a stored monetary balance, and constitutes a promotional price reduction that applies only upon purchase of the qualifying additional-person pass at the then-current added-person price. Gift cards are redeemable solely for services (adding a person to the purchaser's booked night) and are not redeemable or exchangeable for cash, in whole or in part, except where required by applicable law. Each gift card is single-use: one card applies to one added person, and a card is fully redeemed upon use regardless of the price of the qualifying pass. The $180 promotional bonus expires 14 days after purchase. The $20 purchase value does not expire and is refundable on request prior to redemption. Gift cards are transferable in one way: the purchaser may give the card code to their intended guest, and that guest may use it toward paying for their own discounted additional-person pass on the purchaser's booked night; gift cards may not otherwise be resold or transferred for value. Gift cards remain subject to event availability and scheduling, the 21+ and other attendance requirements in these Terms, and the pass transfer and conduct rules in these Terms.
  • Client Agreements Take Precedence: If you are using our Services as part of a separate written contract with Sing with the Stars (for instance, if you are a client who hired us for a private event or a partner organization), the terms of that signed agreement will also apply. In case of any conflict between that agreement and these website Terms, the specific contract terms will override the website Terms for the scope of that relationship. In other words, these Terms are not intended to change or contradict any obligations or remedies stated in a direct contract you have with us.

3. User Content & Marketing

We love featuring the experiences and feedback of our community. You might send us content (like testimonials or photos), or we might capture content during events (like photographs or video of participants). This section explains how we may use such content and the permissions you grant us:

  • Your Submissions (Testimonials, Comments, etc.): If you submit any content to us – for example, by emailing a testimonial, filling out a feedback form, commenting on our social media, or otherwise sharing your stories, photos, or opinions – you keep ownership of your content, but you give us permission to use it. Specifically, by submitting content, you grant Sing with the Stars a license to use, copy, modify, publish, display, and distribute that content for our business purposes (for example, we might publish your testimonial on our website or use your photo in a social media post highlighting an event). This license is royalty-free (no payment to you required), worldwide, and non-exclusive – meaning you can still use your content elsewhere too. We might edit or format your content (for example, correct typos or excerpt a quote) but will not alter the meaning. Of course, you promise that you have the right to share the content with us in the first place (e.g., the text or images are yours to share, and sharing them doesn't violate anyone else's rights). We also reserve the right to decide not to publish or to remove any content you submit if we find it inappropriate or if you request removal. If any content you submit shows you or another identifiable person, the Event Photos, Videos and Likeness Release below also applies to that depiction, including its use in paid media.
  • Third-Party Reviews & Posts About Us: When you post a public review, rating, photo, video, or comment about Sing with the Stars on a third-party platform (for example, Google Reviews, Yelp, TripAdvisor, Eventbrite, Instagram, Facebook, or TikTok), you grant Sing with the Stars a royalty-free, worldwide, non-exclusive license to use, copy, excerpt, display, distribute, and reproduce that content – including the text, your displayed first name or handle, and any photos or videos you attached – on our website, social media, email marketing, advertising, and other promotional materials. We will attribute the content to you as you appeared on the original platform (for example, "Sienna S. on Google") and will not alter its meaning, though we may excerpt, lightly edit for length or typos, or display alongside other reviews. You may request removal of any featured content at any time by emailing [email protected], and we will take reasonable steps to remove it from materials we control within fourteen (14) days of receipt of your request. This license is independent of the underlying third-party platform; if you delete a post on the original platform, that does not by itself remove the content from our materials, and you should email us if you want it taken down.
  • Event Photos, Videos & Likeness Release: Sing with the Stars staff or authorized photographers may take photographs, audio, and video (including audio-only and virtual-event recordings) during our events. By registering for and attending an event, you grant Sing with the Stars an irrevocable, perpetual, worldwide, royalty-free, transferable, and sublicensable right and license to record, reproduce, edit, crop, retouch, composite, publish, display, and use your name (including a first name shown on a name tag), photograph, image, likeness, voice, appearance, and performance, in any and all media now known or later developed, for advertising, marketing, and promotion, including paid advertising, and including on our website, in email, on social media, and in paid ads on platforms such as Google, YouTube, Meta, Instagram, and Facebook. This is your written consent to the use of your name and likeness for advertising and trade purposes, including under New York Civil Rights Law Sections 50 and 51 and any similar law, and you waive any claim arising from a use consistent with this release, including any right of privacy or publicity and any right to inspect or approve the finished materials. You acknowledge that you will not receive payment or other compensation for this use. This release includes our right to combine your likeness with other content and to create or use digital or artificial-intelligence-generated or artificial-intelligence-assisted versions of the captured media for the purposes above; where any material uses a synthetic or artificially generated performer or voice, we will provide any disclosure required by applicable law. This release does not obligate us to remove or recall materials already created, published, or distributed, and the takedown courtesy described in "Third-Party Reviews and Posts About Us" and "Social Media Mentions" applies only to content you yourself created and posted, not to media we captured or to any material already placed in advertising. When you register for or bring guests to an event, you agree to share these Terms with them, and each attendee grants this release for themselves by registering or entering the event. If you register, purchase for, or bring a person under 18, you represent that you are that person's parent or legal guardian with authority to grant this release, and you grant it on the minor's behalf; only a minor's parent or legal guardian may grant it. If you are 18 or older, you grant this release on your own behalf.
  • Other Guests and Third-Party Recordings: Other guests, attendees, or members of the press may photograph, film, or record audio at our events. To the fullest extent the law permits, Sing with the Stars is not responsible for, and you release us from any claim arising out of, the recording or use of your image, likeness, or voice by anyone other than Sing with the Stars. If you would prefer not to appear in another guest's recording, please raise it with that person directly.
  • Social Media Mentions: We absolutely appreciate you tagging us or using our hashtags on social media! It helps us see your posts and share the excitement. If you post about Sing with the Stars on social platforms (for example, you upload a photo from one of our events and tag our official account or use a specific event hashtag), we may re-share or highlight your post on our own social media or website. We will credit you by username whenever possible. If you prefer we not re-share your social post, just message us and we will respect that. Also, keep in mind that anything you post on our official pages (such as commenting on our Instagram page or replying to our tweets) may be public. We reserve the right to moderate or delete comments on our pages that violate our conduct rules (for example, no hate speech, spam, or inappropriate content), to keep our community welcoming for everyone.
  • Communication Consent (Email, Direct Message, & SMS): We'll send you important updates about your bookings, events, and promotions via email, social media, and text. You can opt out anytime.
  • Email: If you provide us with your email address, we may send you newsletters, event announcements, or special offers. You can always opt out of marketing or non-essential emails by clicking the "unsubscribe" link provided in those emails. Even if you opt out of marketing emails, we may still send you transactional emails related to your registrations or purchases (for example, a booking confirmation or a critical event update) since those are necessary for providing our services to you.
  • Social Media Direct Messaging: If you engage with us on social media platforms (e.g., Instagram, Facebook, Twitter, LinkedIn, TikTok, or other applicable networks) and provide your contact details or message us directly, you consent to receiving relevant updates, reminders, and promotions via social media direct messaging. You may opt out by unfollowing our account, blocking messages, or requesting in writing that we stop contacting you via a particular platform. Note that certain platforms may have their own settings for controlling messages, which you should review separately.
  • SMS/Text Messages: If you provide your mobile phone number and agree to receive text messages, you consent to receiving texts from us. Our messages include things like booking confirmations, event reminders, follow-ups about our offerings, and the occasional promotion. You may opt out at any time by replying "STOP" to any of our texts, and we will stop messaging you. Your participation in our text messaging program is also governed by the dedicated Mobile Messaging (SMS) Terms in Section 4 below, which describe message frequency, rates, opt-out and help instructions, and other important terms.
  • Phone Calls: If you provide your phone number, we may call you to discuss our events and offerings. Phone calls with Sing with the Stars may be recorded for quality assurance and training purposes, and call recordings may be transcribed and analyzed using artificial intelligence tools to improve our services. By providing your phone number and engaging in a call, you consent to such recording, transcription, and analysis. If you do not wish to be recorded, please let us know at the beginning of the call.
  • AI-Assisted Communications: Some messages you receive from us (including emails and text messages) may be drafted with the assistance of artificial intelligence tools and reviewed by our team. We use AI to help draft and personalize our communications and respond more efficiently, and our team oversees this process.

We handle your personal information as described in our Privacy Policy, which explains the categories of third parties we may share it with and the choices available to you, including any right to opt out of a sale or sharing of your information where the law provides one.

4. Mobile Messaging (SMS) Terms

These Mobile Messaging Terms govern the Sing with the Stars text-message program (the "Program"), operated by Sing with the Stars, LLC ("Sing with the Stars," "we," or "us"). By providing your mobile number and agreeing to receive texts from us, you agree to these terms in addition to the rest of these Terms of Service. We may modify or cancel the Program or any of its features at any time without notice, and, to the extent permitted by applicable law, we may modify these Mobile Messaging Terms at any time; your continued participation after the effective date of any change constitutes acceptance of that change.

  • Your Consent & the Messages You'll Receive: By enrolling in the Program, you consent to receive recurring SMS/text messages from and on behalf of Sing with the Stars at the mobile number you provided, even if that number is registered on any state or federal Do Not Call list. These messages may be sent using an automatic telephone dialing system or other automated technology, and may be drafted with the assistance of artificial intelligence tools and reviewed by our team. Messages include service-related texts (for example, booking and account confirmations, reminders, and updates) and promotional texts (for example, specials, offers, and event announcements).
  • Consent Is Not a Condition of Purchase: You do not have to sign up for the Program in order to make any purchase from us, and your consent to receive marketing texts is not a condition of any purchase. Your participation is completely voluntary.
  • Cost, Frequency & Rates: We do not charge you for the Program, but message frequency varies and message and data rates may apply depending on your mobile plan. You are solely responsible for all charges and fees that your wireless provider imposes for text messaging. Please check your mobile plan and contact your wireless provider for details.
  • How to Opt Out (STOP): You may opt out of the Program at any time. Reply STOP to any message, text STOP to +1 (877) 596-8165, or click the unsubscribe link (where available) in any text message, and you will receive a one-time opt-out confirmation message. After that, no further Program messages will be sent to your mobile device unless you initiate contact with us. If you have enrolled in more than one of our messaging programs, you may need to opt out of each separately as instructed in that program.
  • How to Get Help (HELP): For help or support with the Program, reply HELP to any message, text HELP to +1 (877) 596-8165, or email [email protected].
  • Changes to Our Number: We may change any short code or telephone number we use to operate the Program at any time, and will notify you when we do. You acknowledge that any message — including any STOP or HELP request — you send to a number we have changed may not be received, and we will not be responsible for honoring requests made in such messages.
  • Delivery & Your Number: The wireless carriers supported by the Program are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number, and if you get a new mobile number you will need to re-enroll with the new number.
  • Limitation of Liability: To the extent permitted by applicable law, you agree that we will not be liable for any failed, delayed, or misdirected delivery of any message, any errors in a message, or any action you may or may not take in reliance on a message or the Program. These Mobile Messaging Terms are also subject to the broader "Limitations of Liability" and "Dispute Resolution" sections below.

We respect your privacy. We will not sell or share your mobile number, your consent to receive text messages, or your opt-in information with third parties for their own marketing purposes. We share this information only with the vendors that help us operate the Program (such as our messaging platform provider and wireless carriers). To learn more about how we collect and use your personal information, please see our Privacy Policy.

5. Intellectual Property

All content and materials on Sing with the Stars web properties are protected by intellectual property laws to safeguard both us and you. Here's what that means:

  • Our Content Ownership: Unless otherwise noted, Sing with the Stars owns all the content on our website and related online Services. This includes (but isn't limited to) the text, graphics, logos, artwork, photos, videos, audio clips, design layout, and software on our site. These are either owned by us or licensed to us by third parties. All such content is protected by copyright, trademark, and other intellectual property laws. We're happy for you to browse, and even download or print content for your personal, non-commercial use, such as reading an article or saving event details for your reference. However, you may not copy, reproduce, modify, publish, distribute, or exploit our content for any other purpose without our express prior written permission. In plain terms: the content is provided for your information and personal use only, and not for you to reuse for your own commercial gain. If you want to share something from our site, you may link to our pages, or use our official social media share buttons — just don't steal or plagiarize our material.
  • Trademarks & Branding: "Sing with the Stars"™ and the Sing with the Stars logo are trademarks and proprietary branding of our company. All rights regarding these trademarks are reserved. You may not use our name, logos, or any brand identifiers in any way without our prior written permission. This includes not using our logo on your own website, materials, or merchandise. The only exception to this rule is if we have explicitly agreed in writing to let you use our branding as part of a co-branded or co-marketed event that we are involved in. In such cases, the way you can use our name or logo will be clearly defined in our agreement with you. Outside of an approved partnership or co-hosted event, any use of "Sing with the Stars" trademarks by third parties is strictly prohibited. We take the protection of our brand seriously, and unauthorized use of our trademarks or confusingly similar marks may violate intellectual property laws.
  • Limited License for Use: We do grant you a limited, revocable license to access and use our website content for its intended purpose – which is to engage with our offerings (like reading about events, registering, or learning about our services). This license does not include any rights to resale or commercial use of our content, nor any data scraping, data mining, or use of any robots or similar data gathering tools. You also may not frame or use framing techniques to enclose any of our content without permission. Any unauthorized use terminates the permission or license we've granted you. If you are an educator, journalist, or blogger who would like to use our content beyond what these Terms allow (for example, including a snippet of our content in an article or featuring our logo), please contact us – we often gladly grant permission for legitimate requests, but it must be done in writing.
  • Third-Party Names & No Affiliation: Sing with the Stars is an independent live experience. We are not affiliated with, endorsed by, sponsored by, or associated with any Broadway show, theatrical production, theater, or rights holder. Any Broadway show titles, character names, or related marks that appear on our Services are the property of their respective owners and are used here for identification and descriptive purposes only, for example to describe the professional credits of the performers who host our events. Their appearance does not imply any partnership, sponsorship, or endorsement by those rights holders.

6. Dispute Resolution

We hope you never have any serious disagreements with us, but if something does come up, this section explains how we agree to resolve it. By using our Services, you agree to the following process for disputes:

  • Contact Us First – Friendly Resolution: If you have a concern or dispute regarding our Services or these Terms, please contact us informally first. You can reach out via email or the contact form on our website. We believe most issues can be resolved quickly and in good faith by simply communicating. We will try our best to address your concern and work with you to find a satisfactory solution.
  • Binding Arbitration: If we cannot resolve the issue through discussion, you and Sing with the Stars agree that any dispute that is not resolved informally will be resolved by final and binding individual arbitration, rather than in court, except as stated below. This agreement to arbitrate is governed by the Federal Arbitration Act. The arbitration will be administered by a reputable arbitration provider (such as the American Arbitration Association) under its consumer arbitration rules, and the arbitrator, and not any court, will decide all threshold questions about whether a dispute is subject to arbitration. The arbitration will be conducted on an individual basis only, and each side generally bears its own costs unless the rules or the arbitrator provide otherwise. You may instead bring a qualifying claim in small claims court, as long as it stays in that court, and either of us may seek injunctive or equitable relief in court to protect intellectual property or prevent immediate harm. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration; opting out will not affect the rest of these Terms.
  • Court (limited role): Except for a qualifying small claims matter or a request for injunctive or equitable relief, disputes are resolved by binding arbitration as described above rather than in court. Any action that is permitted to be brought in court (for example, to enforce an arbitration award, or a claim by a person who validly opted out of arbitration) will be filed in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts.

Important: This dispute resolution agreement waives any right to a jury trial and to participate in a class action, to the maximum extent allowed by law. That means you are agreeing to resolve disputes with us on an individual basis, not as part of a group or class. The arbitration (or court, if it gets to that) will therefore be solely between you and Sing with the Stars, not a combined case with other users. If this class action waiver or any part of this dispute process is found unenforceable, then it may be severed from the Terms, and it won't affect the validity of the rest of the dispute resolution provisions.

Governing Law & Jurisdiction: These Terms are governed by and interpreted under the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms or related to our Services must be resolved exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of these courts.

7. Limitations of Liability

We want to be as transparent as possible about how far our responsibility goes if something doesn't work right or if you incur a loss in connection with our Services. In legal terms, this section limits our liability and disclaims certain warranties. In simple terms, while we strive to provide great services, there are things we cannot promise and things we are not responsible for. Please read this part carefully:

  • Services Provided "As Is" (No Warranties): Sing with the Stars provides the website and all services "as is" and "as available," without any warranties or guarantees of any kind. This means we do not explicitly or implicitly guarantee that our site or services will always be available, error-free, virus-free, or that they will meet your expectations. We disclaim any and all warranties, express or implied, to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. For example, we don't warrant that an event will achieve any particular outcome for you (such as improving your singing skills or guaranteeing enjoyment – though we certainly hope it does!), and we don't warrant that our website will be 100% uninterrupted or secure. That said, if something goes wrong, we will do our best to fix it and assist you within reasonable measures. Just note that using our Services is at your own discretion and risk.
  • No Indirect or Consequential Damages: To the fullest extent allowed by law, Sing with the Stars (and our directors, employees, partners, and affiliates) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) our website or services. This includes, for example, we are not liable for: loss of profits or revenue, loss of data, loss of goodwill, business interruptions, or other intangible losses; your cost of procuring substitute services or travel; or any other similar damage or loss that was not a direct result of our actions. Some jurisdictions do not allow the exclusion of certain types of damages, so this exclusion may not fully apply to you if you live in one of those places – but in such case, it will apply to the maximum extent permitted.
  • Force Majeure: Sing with the Stars will not be liable for any failure or delay in performance of its obligations (including providing products, services, or access to the Site) if that failure or delay is caused by events beyond its reasonable control. This includes, but is not limited to, acts of God, natural disasters, war, terrorism, civil disturbances, epidemic or pandemic, power or internet outages, labor strikes, or governmental actions. In such an event, our duties will be suspended for the duration of the event outside our control.
  • Event Participation Disclaimer: By attending a Sing with the Stars event, you acknowledge and agree that you are responsible for your own safety and belongings. To the fullest extent the law permits, Sing with the Stars is not liable for property loss or for the acts of third parties or other attendees, including theft and accidents caused by others. Nothing in this section limits or excludes our liability for personal injury caused by our own negligence to the extent such a limitation is prohibited by New York General Obligations Law Section 5-326 or any other mandatory law. Attendees assume the ordinary risks inherent in attending a live event.
  • Alcohol and Intoxication: Where alcohol is served, it is served only to guests of legal drinking age (21 or older) with valid identification, and you agree to drink responsibly and to follow all venue policies and applicable law. You agree not to attend or remain at an event while intoxicated, and you acknowledge that you are responsible for your own consumption and its consequences. Nothing in these Terms limits any liability that cannot be limited under applicable law, including any applicable dram-shop or alcoholic beverage control law.
  • Removal and Refusal of Entry: We and our venue partners may refuse entry to, or remove from an event, any person who is intoxicated, disruptive, unsafe, underage for the event, or in violation of these Terms or venue rules, without refund and without further liability. This is in addition to our other rights under these Terms, including under "Chargebacks and Refusal of Future Service."
  • Liability Cap (Maximum Liability): In any case, if we are found responsible for any claim arising out of these Terms or your use of our Services, our liability to you is limited to the amount you paid us for the service in question. If the claim involves your use of the website generally (and no specific purchase), our liability is capped at a nominal amount ($50). In no event will our total liability exceed the fees you have paid to us (if any) for the particular event, product, or service that gave rise to the claim. For example, if you paid a $100 ticket for an event and something went wrong that was legally our fault, the most we would owe you is $100 (in addition to, if applicable, refunding that ticket if not already refunded). This limitation applies whether the liability arises from breach of contract, tort (negligence, etc.), or any other legal theory. The only exception is where applicable law prohibits such liability limitations – in that case, our liability will be limited to the smallest amount the law allows.
  • Indemnification: (Indemnity is a way of saying you agree not to hold us responsible for certain things.) You agree that if a third party makes a claim against Sing with the Stars related to your misuse of our Services or your violation of these Terms, you will indemnify and hold us harmless from those claims. This means you will be responsible for any loss or damage we suffer, including reasonable attorneys' fees, because of your actions. For example, if you post something on our site that infringes someone else's copyright and they sue us, you'd cover our costs. We'll notify you of any such claim and cooperate with you, and you agree to cooperate with us in our defense.

We believe these limitations are reasonable given the nature of our Services. We are providing a platform and events to the public, and while we stand by our offerings, we can't take responsibility for every possible outcome or unforeseen issue. By using our Services, you acknowledge and accept that risk.

8. Consumer Rights

California Consumer Rights Notice: Under California Civil Code §1789.3, California residents are entitled to the following specific consumer rights information: If you have a question or complaint regarding our Site or services, please contact us in writing at Sing with the Stars, LLC, 169 Madison Ave STE 15067, New York, NY 10016, or by email at [email protected]. 9. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. These Terms (including our Privacy Policy) constitute the entire agreement between you and Sing with the Stars regarding your use of our Services and supersede any prior agreements or understandings, whether written or oral.

Conclusion

Thank you for taking the time to read these Terms of Service. We know this was a lot of information, but we want you to feel confident and informed about your relationship with Sing with the Stars. In summary, these Terms are here to protect both you and us: to ensure our site and events are used properly, to clarify what you can expect from us, and to set fair boundaries on liabilities and dispute processes.

By using our website or participating in our events, you agree to these Terms. If you have any questions or do not understand something, please contact us – we'd be happy to explain or clarify. Using plain language in our Terms is important to us, and so is your understanding of them.

Finally, note that we may update these Terms from time to time (for example, if we add new features or if laws change). If we make important changes, we will post the updated Terms on our site with a new "Last Updated" date, and we may notify you through other channels if appropriate. Continued use of our Services after any changes means you accept the revised Terms, so please check back periodically.

Happy Singing (with the Stars)! We appreciate your support and participation, and we look forward to providing you with a stellar experience.
